1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Neural Wave Labs LLC ("we," "us," or "our") governing your use of the VeloxWaves desktop application and related services (collectively, the "Service").

By downloading, installing, or using VeloxWaves, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

You must be at least 13 years of age to use VeloxWaves. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian who agrees to these Terms on your behalf.

2. Description of Service

VeloxWaves is a desktop voice-to-text application that converts spoken words into text using push-to-talk functionality. The Service offers two transcription modes:

• Local Mode: Voice processing performed entirely on your device using on-device AI models. No data leaves your machine.
• Cloud Mode: Voice audio is sent to third-party cloud services for transcription, providing faster and more accurate results.

The Service is available through the following subscription tiers:

• Trial: 14-day free trial with unlimited local and up to 15 cloud transcriptions per day. No credit card required.
• Free: Unlimited local transcriptions at no cost. Cloud transcription is not available on the Free plan.
• Starter: Monthly ($5/mo) subscription providing unlimited local and up to 30 cloud transcriptions per day.
• Pro: Monthly ($8/mo) or annual ($69/year) subscription providing unlimited local and up to 100 cloud transcriptions per day.
• Lifetime: One-time purchase ($99) providing the same features as Pro with no recurring charges.

3. Account Registration

To access certain features of the Service, you must create an account using Google or GitHub OAuth authentication. By creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials and authentication methods
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity under your account

Each individual may maintain only one account. We reserve the right to suspend or terminate duplicate accounts.

4. Subscription and Billing

Recurring Subscriptions: Pro plan subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the applicable subscription fee at the beginning of each billing period.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until that time. No partial refunds are provided for unused portions of a billing cycle.

Price Changes: We may change subscription prices with at least 30 days' advance notice. Price changes take effect at the start of your next billing period following the notice. Continued use of the Service after a price change constitutes acceptance of the new price.

One-Time Purchases: The Lifetime plan is a one-time purchase that grants a perpetual license for VeloxWaves with the same features as Pro. Future major version upgrades may require an additional purchase.

All payments are processed securely by Stripe. By making a purchase, you agree to Stripe's terms of service.

5. Free Trial

New users are eligible for a 14-day free trial that provides access to both local and cloud transcription features. No credit card is required to start the trial.

At the end of the trial period, your account automatically converts to the Free plan. To continue using premium features, you must purchase a paid plan. We will not charge you without your explicit consent.

6. Refund Policy

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the application, except as permitted by applicable law
• Circumvent, disable, or interfere with usage limits, security features, or access controls of the Service
• Attempt to manipulate or spoof device identifiers used for account security and abuse prevention
• Share your account credentials or allow others to access your account
• Use automated systems, bots, or scripts to access the Service in a manner that exceeds reasonable usage
• Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable through the Service
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Resell, sublicense, or redistribute the Service or any part thereof without our express written consent

We reserve the right to suspend or terminate your access to the Service for violations of these usage guidelines.

8. Issue Submission

VeloxWaves includes an in-app issue reporting feature for submitting bug reports and suggestions. Submission limits vary by plan:

• Free and Trial plans: Up to 3 bug reports and 1 suggestion per day.
• Pro and Lifetime plans: Unlimited submissions.

Submitted issues may include system information and application logs (with your consent) to help us diagnose and resolve problems. We reserve the right to adjust submission limits to prevent abuse.

9. Intellectual Property

The VeloxWaves application, including its code, design, features, documentation, and branding, is owned by Neural Wave Labs LLC and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

VeloxWaves uses the Moonshine AI model and other open-source components under their respective licenses. These components remain the property of their respective owners.

Your Content: You retain full ownership of all transcription content generated through the Service. We claim no rights or ownership over the text produced from your voice input.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using VeloxWaves, you consent to the data practices described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• Transcriptions will be accurate, complete, or free of errors
• The Service will be uninterrupted, secure, or free of bugs or viruses
• Cloud transcription services will be available at all times
• The Service will meet your specific requirements or expectations

You acknowledge that speech-to-text technology has inherent limitations and that transcription accuracy may vary depending on factors such as audio quality, accents, background noise, and technical terminology.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURAL WAVE LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Neural Wave Labs LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you transmit or generate through the Service

14. Termination

By Us: We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, constitutes fraud, or is harmful to other users, us, or third parties. In cases of egregious violations, we may terminate immediately without prior notice.

By You: You may terminate your account at any time by deleting your account or contacting us. If you have an active paid subscription, your access to paid features will continue until the end of the current billing period.

Upon termination, your right to use the Service ceases immediately (subject to any remaining billing period for paid subscriptions). Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Neural Wave Labs LLC is registered, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the jurisdiction where Neural Wave Labs LLC is registered. You consent to the personal jurisdiction of such courts and waive any objection to venue.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' advance notice via email or in-app notification before the changes take effect.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Neural Wave Labs LLC regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
